1. AGREEMENT TO OUR LEGAL TERMS

These terms of use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Deck AI Limited ("we","us", or "our"), a company incorporated in the United Kingdom (company number 16432108), with registered address 71‑75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

By accessing or using the website https://usedeck.ai and any related services that link to these Terms (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree with all of these Terms, you must not use the Services.

We may modify these Terms at any time, in our sole discretion, by posting an updated version on the Services. The updated Terms will be effective upon posting, and your continued access or use of the Services constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.

3. ELIGIBILITY AND USER ACCOUNTS

  1. You must be at least 18 years old to access or use the Services.

  2. If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

  3. You are responsible for providing accurate and complete registration information.

  4. You agree to keep your password and account credentials confidential and not share them with any third party. You are responsible for all activity under your account

  5. We reserve the right to suspend or terminate any account at any time, with or without cause or notice.

4. PROVISION OF THE SERVICES

  1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes.

  2. We may modify, update, or discontinue any part of the Services at any time, without notice or liability, in our sole discretion.

  3. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

5. USER CONTENT; LICENSES

  1. "User Content" means any text, images, files, presentations, or other materials that you upload, submit, or generate through the Services.

  2. By providing User Content to the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, display, and otherwise exploit such User Content for the purpose of providing, improving, and promoting the Services (including training AI models with de‑identified data derivatives)

  3. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license for all User Content.

  4. You are solely responsible for your User Content and any consequences of uploading or publishing it.

  5. We reserve the right to remove or disable access to any User Content that violates these Terms or any applicable law.

6. PROHIBITED ACTIVITIES

You agree not to, and not to assist or permit any third party to, including but not limited to:

  1. Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.

  2. Modify, adapt, translate, or create derivative works of the Services or any portion thereof.

  3. Use the Services for any illegal purpose or in violation of any applicable law, regulation, or third‑party right (including privacy, publicity, or intellectual property).

  4. Submit any content that is abusive, defamatory, indecent, obscene, harassing, hateful, or otherwise objectionable.

  5. Upload or transmit any harmful code (e.g., viruses, worms, malware) or otherwise interfere with the integrity or performance of the Services.

  6. Engage in unauthorized framing of or linking to the Services.

  7. Remove, obscure, or alter any proprietary notices (including copyright and trademark notices) on the Services.

  8. Use the Services to collect or store personal data about other users without their consent.

  9. Impersonate any person or entity or misrepresent your affiliation with any person or entity.

  10. Use the Services to violate any Recording Laws when capturing or storing audio or video.

Violation of any prohibited activity may result in immediate termination of your access to the Services.

7. INTELLECTUAL PROPERTY RIGHTS

  1. All rights, title, and interest in and to the Services (excluding User Content) are and will remain our exclusive property (or the property of our licensors), including all associated intellectual property rights.

  2. Except for the limited license granted to you in these Terms, we grant no rights to the Services or any content made available through the Services.

  3. We and our licensors reserve all rights not expressly granted to you in these Terms.

  4. Any feedback you provide (“Feedback”) regarding the Services may be used by us without restriction, compensation, or acknowledgment.

8. THIRD-PARTY INTEGRATIONS AND AI MODEL USAGE

  1. The Services may integrate with or rely on third‑party platforms, APIs, or AI/ML models ("Third‑Party Services").

  2. Your use of Third‑Party Services is subject to the applicable third party’s terms and privacy policies, and you are responsible for compliance with them.

  3. We may use User Content (including de‑identified or aggregated data) to train AI models, but only to provide, improve, and personalize the Services for Deck AI Limited customers, and not to benefit other third parties.

9. DATA SECURITY AND PRIVACY

Your use of the Services is also governed by our Privacy Policy, available at https://usedeck.ai/privacy, which is incorporated by reference into these Terms.

10. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR TITLE.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE UNDER ANY LEGAL THEORY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY UNDER OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Deck AI Limited and its officers, directors, employees, agents, and affiliates from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your use of the Services or violation of these Terms;

  2. Any User Content you provide or upload;

  3. Your breach of any representation, warranty, or obligation under these Terms;

  4. Your infringement or misappropriation of any third‑party rights.

13. TERM AND TERMINATION

  1. These Terms are effective until terminated. You may terminate at any time by discontinuing use of the Services and deleting your account.

  2. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you breach these Terms.

  3. Upon termination, your right to use the Services ceases immediately. We may delete your account and any User Content associated with it, subject to our Privacy Policy.

14. GOVERNING LAW AND DISPUTE RESOLUTION

  1. Governing Law: These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.

  2. Jurisdiction: The parties submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of or related to these Terms.

  3. Injunctive Relief: Notwithstanding anything to the contrary, both parties may seek injunctive or other equitable relief in any court of competent jurisdiction to protect their intellectual property or proprietary rights.

15. MODIFICATIONS TO THE SERVICES AND TERMS

  1. We reserve the right to update, modify, or discontinue the Services at any time without prior notice.

  2. We may amend these Terms by posting an updated version on the Services.

  3. Substantial changes will be announced via email or a prominent notice on the Services at least 30 days before they become effective.

  4. Your continued access or use of the Services after the effective date of any amendments constitutes your acceptance of the revised Terms.

16. MISCELLANEOUS

  1. Entire Agreement: These Terms (including any documents incorporated by reference) constitute the entire agreement and understanding between you and Deck AI Limited regarding the Services and supersede all prior agreements.

  2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

  3. Waiver: No failure or delay by either party to exercise any right under these Terms will operate as a waiver of that right.

  4. Assignment: You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.

  5. Notices: All notices must be in writing. We may provide notice by email or by posting on the Services. Notices to us should be sent to data@deck.team.

  6. Relationship of the Parties: Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Deck AI Limited.

  7. Force Majeure: Neither party will be liable for any failure to perform due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, labor disputes, or governmental actions.
